These Terms & Conditions (the “Agreement”) govern the Customer’s subscription or trial of one or more products (“Products”) from Economic Mind AS (“Economic Mind”). Where a separate signed contract between Economic Mind and the Customer includes terms that differ from these, the signed contract prevails.

Subscription and user access

All access to the Products is through named user logins or data feeds provided by Economic Mind. Each login and password is personal and confidential and must not be shared or distributed, including within the Customer’s organization.

Ownership, intellectual property and copyright

All intellectual property rights in and to the Products remain the exclusive property of Economic Mind. The Customer is granted a limited, non-exclusive, non-transferable right to use the Products as described in this Agreement. No other rights are granted.

Use of products

Permitted use: The Customer may use data and information from the Products in its internal analyses, reports, and presentations, or in materials shared with clients, provided that the source is acknowledged as “Source: Economic Mind”.

Prohibited use: The Customer may not resell, redistribute, or make raw data available to third parties, or post Productcontent publicly online. Distribution of any Product or data without added value or further processingby the Customer is prohibited.

Subscription fee

Subscription fees are invoiced at the start of each Subscription Period and are payable in full within 30 days of invoice date. Fees are non-refundable and exclusive of all taxes and VAT. Early access to Products does not remove the obligation to pay.

Subscription period and renewal

The subscription runs for the period stated in the order form (“Subscription Period”). Either party may terminate the Agreement with 30 days’ written notice before renewal.

Trials

Trial access may be provided for a limited period (“Trial Period”). Economic Mind may contact trial users during or after the trial to offer support or gather feedback. Trial use is subject to these Terms & Conditions.

Customer responsibilities

The Customer agrees to:
- Maintain the confidentiality of login credentials.
- Not attempt to interfere with, reverse-engineer, or automate access to the Products.
- Notify Economic Mind when a user leaves the organization.

Economic Mind may audit Product use to verify compliance. The Customer is responsible for all activities under its accounts.

Personal information and user data

Economic Mind processes user data only to manage subscriptions, provide support, and improve its Product. Furthermore, Economic Mind collects usage and activity data (such as clicks, searches, and feature interactions) to analyse how the Product is used and to improve its performance. This data may be processed by trusted third-party analytics providers (e.g., Mixpanel) acting as data processors. Economic Mind does not sell or commercialize user data to third parties. Economic Mind may send relevant service and product notifications, which users can manage at any time.

User support

Economic Mind provides reasonable support as part of the subscription. Support covers feedback, troubleshooting, and guidance on Product use. Broader consulting requests may be subject to separate charges. Economic Mind may limit the number of users with direct support access if necessary.

Warranties

Economic Mind warrants that it has the right to provide the Products and that use of the Products in accordance with this Agreement does not infringe any third-party rights.

Disclaimers and limitations

Economic Mind shall utilize its best commercial efforts to provide the Products on a 24/7 basis. However, the Products and information are provided "as is" without warranties regarding uninterrupted access, accuracy, completeness, or fitness for a particular purpose.

Economic Mind has used reasonable endeavors to obtain the factual information contained in the Products from sources deemed by it, in its discretion, to be reliable at the time such information was obtained, but makes no warranties or representations about the accuracy or completeness of such information.

Economic Mind, its affiliates and suppliers, shall not be liable for indirect, consequential, or punitive losses, including loss of profits, data, or business the Customer may incur due to the Customer’s inability to access the Products due to any disruption of the service.

Total liability under this Agreement shall not exceed the total subscription fees paid for the affected Product in the 12 months preceding the claim. Under no circumstances shall Economic Mind be liable for claims arising out of or in connection with this Agreement or the Products, in an aggregate amount in excess of one standard, twelve (12) month Subscription Fee of the disputed Products.

The information provided through the Products does not constitute advice or recommendations and should not be relied upon for investment or transactional decisions.

S&P Global Market Intelligence data

Portions of the Products include data licensed from S&P Global Market Intelligence and its affiliates (“S&P”).
- Neither Economic Mind, S&P, their affiliates, nor any of their suppliers shall have any liability for the accuracy, completeness, or timeliness of the information or for any losses, whether direct or consequential.
- The S&P data and related materials are provided for internal use only and may not be redistributed or used for any unlawful purpose.
- The information does not constitute investment advice or a recommendation to buy, sell, or hold any security or make any investment decision.
- S&P and its affiliates retain exclusive proprietary rights in their data.
- Access to S&P data may terminate if Economic Mind’s license with S&P ends.
- S&P is an intended third-party beneficiary of this Agreement and may enforce these provisions directly.

Termination of agreement due to material breach

Either party may terminate this Agreement for material breach with five (5) business days’ written notice if the breach is not cured. Economic Mind may suspend or terminate access immediately if fees remain unpaid, if the Customer becomes insolvent, or if legal or regulatory changes prevent Economic Mind from providing the Products. In such cases, the Customer will receive a pro rata refund for any prepaid period not delivered.

Procedures following termination

Upon termination, Customer access to the Products will cease, and data extracted from the Products must be deleted within 48 hours. Termination does not affect rights or obligations accrued prior to that date. Clauses that by nature should survive termination (e.g., confidentiality, limitations of liability) remain in force.

Product revisions and discontinuance

Economic Mind may revise or discontinue Products with at least 30 days’ notice. If a Product is discontinued, Economic Mind may transfer access to a comparable Product or provide a pro rata refund for the remaining Subscription Period. This is the Customer’s sole remedy in such cases.

Change of terms

Economic Mind may update these Terms with 30 days’ notice. If the Customer does not accept the updated terms, it may terminate its subscription within 14 days of notice and receive a pro rata refund for the remaining Subscription Period.

General provisions

Waivers:

A waiver of any provision of this Agreement or of any breach or default in performing or observing any such provision shall not be effective unless in writing and shall not constitute a continuing waiver unless expressly so provided.

Notices:

All notices under this Agreement must be in writing.

Assignment:

Neither party may assign its rights under this Agreement without prior written consent, except to affiliates or in connection with a merger, acquisition, or sale of substantially all assets.

Governing Law:

This Agreement is governed by Norwegian law. Any disputes shall be settled by the Oslo District Court as agreed legal venue.
